By creating an account, accessing Capcane, connecting a third-party account, or using our services, you agree to these Terms. If you do not agree with these Terms, you should not use Capcane.
1. About Capcane
Capcane provides software and digital marketing tools for healthcare professionals, clinics, healthcare organizations, and businesses. Our services may include:
- Google Business Profile management
- Local business listing management
- Search Engine Optimization (SEO)
- Google Search Console reporting
- Google Analytics reporting
- Google Ads management and reporting
- Website performance reporting
- Online presence management
- Business profile and marketing content management
- Digital marketing analytics
- Other related software and services
The specific services available to you depend on your subscription, account configuration, and the services you have authorized.
2. Eligibility
You must have the legal capacity to enter into these Terms. If you use Capcane on behalf of a company, clinic, organization, or other entity, you represent that you have authority to accept these Terms on behalf of that entity.
3. Your Account
You are responsible for:
- Providing accurate account information
- Maintaining the confidentiality of your login credentials
- Keeping your account information up to date
- Maintaining appropriate authorization for accounts connected to Capcane
- All activity performed through your account
You must notify Capcane if you believe your account has been accessed without authorization.
4. Google Account Integrations
Capcane may allow you to connect Google services through Google's OAuth authorization system. These services may include:
- Google Business Profile
- Google Analytics
- Google Search Console
- Google Ads
When you connect a Google service, you authorize Capcane to access the information and perform the actions permitted by the Google permissions you approve. You are responsible for ensuring that you have the necessary authority to connect and manage the Google accounts, properties, business profiles, websites, and advertising accounts that you connect to Capcane.
5. Google Business Profile Management
Where supported, Capcane may allow you to manage information associated with your Google Business Profile. You remain responsible for:
- The accuracy of your business information
- The legitimacy of your business
- Compliance with Google's Business Profile policies
- The content you publish
- Business hours and contact information
- Photos and other media you provide
- Reviews and responses you create or authorize
- Any actions performed on your behalf
Capcane does not guarantee that Google will approve, publish, display, rank, or maintain any particular Business Profile content. Google may independently modify, reject, suspend, remove, or restrict business information or profiles.
6. SEO and Search Performance
Capcane may provide SEO tools, recommendations, reporting, and search-performance analysis. SEO recommendations are provided as software-assisted insights and do not guarantee search rankings, search traffic, website indexing, search impressions, search clicks, leads, revenue, conversion rates, or any particular position in Google Search. Search engines may change their algorithms, indexing systems, policies, or ranking criteria at any time.
7. Google Analytics
Where you connect Google Analytics, Capcane may retrieve reporting and analytics information from the Google Analytics property you authorize. Capcane provides analytics and reporting based on the information available through the relevant Google APIs. Capcane does not guarantee that Google Analytics data will always be complete, accurate, available, or uninterrupted.
8. Google Search Console
Where you connect Google Search Console, Capcane may retrieve search performance and related information for the properties you authorize. Search Console data is provided by Google and may change, be delayed, become unavailable, or be subject to Google's own policies and systems. Capcane does not guarantee search rankings, indexing, impressions, clicks, or traffic.
9. Google Ads
Where you connect Google Ads, Capcane may provide advertising management, reporting, monitoring, and analytics features. You remain responsible for your advertising campaigns, budgets, advertisements, claims, landing pages, targeting settings, keywords, compliance with applicable advertising laws, and compliance with Google Ads policies.
Capcane does not guarantee ad approval, ad delivery, impressions, clicks, leads, conversions, cost per acquisition, advertising return on investment, or any particular advertising result. Google may independently approve, reject, suspend, modify, or terminate advertisements or advertising accounts.
10. Third-Party Platforms
Capcane integrates with third-party platforms, including Google services. Those platforms operate independently from Capcane and may change their APIs, features, policies, availability, pricing, or technical requirements. Capcane is not responsible for outages, API changes, policy changes, account suspensions, data inaccuracies, or other actions taken by third-party platforms.
11. Customer Content
You may provide Capcane with content such as business descriptions, website content, photos, logos, service descriptions, marketing content, business information, advertising information, and other materials related to your business.
You retain ownership of content that you provide to Capcane, subject to the rights necessary for Capcane to provide the services. You grant Capcane a limited, non-exclusive right to process, store, reproduce, modify, transmit, and display such content as necessary to provide the services you request. You represent that you have the necessary rights and permissions to provide such content to Capcane.
12. Acceptable Use
You agree not to use Capcane to:
- Violate applicable laws or regulations
- Violate third-party rights
- Impersonate another person or organization
- Provide false or misleading information
- Access accounts without authorization
- Attempt to bypass security controls
- Interfere with the operation of Capcane
- Introduce malware or malicious code
- Abuse APIs or integrations
- Scrape or collect data in violation of applicable platform policies
- Use Capcane to conduct fraudulent activity
- Use Capcane in a manner that violates Google's policies or other third-party platform policies
13. Healthcare and Professional Responsibility
Capcane provides software and digital marketing services. Capcane does not provide medical advice, diagnosis, treatment, or clinical decision-making services through the marketing and business-management functionality covered by these Terms.
You are responsible for ensuring that your marketing materials, claims, services, and communications comply with applicable professional, advertising, privacy, and healthcare requirements.
14. Fees and Subscriptions
If you purchase paid Capcane services, applicable fees, billing periods, subscription terms, and payment conditions will be presented to you before purchase. Unless otherwise stated:
- Fees are payable according to the selected billing period.
- You are responsible for applicable taxes.
- Subscription fees are not automatically refundable unless required by applicable law or expressly stated otherwise.
- Failure to pay applicable fees may result in suspension or termination of the relevant services.
15. Service Availability
We aim to keep Capcane available and reliable, but we do not guarantee uninterrupted or error-free operation. Capcane may temporarily become unavailable due to maintenance, software updates, infrastructure issues, security incidents, internet or network failures, third-party service outages, API changes, or events beyond our reasonable control.
16. Intellectual Property
Capcane and its underlying software, technology, interfaces, designs, trademarks, documentation, and other materials are owned by or licensed to Capcane and are protected by applicable intellectual-property laws.
Except as expressly permitted by these Terms, you may not copy Capcane software, reverse engineer the service, modify the platform, resell the platform without authorization, remove proprietary notices, attempt to extract source code, or use Capcane branding without permission.
17. Privacy
Your use of Capcane is also governed by our Privacy Policy. Our Privacy Policy explains how we collect, use, store, protect, and share information, including information accessed through Google APIs.
18. Google API Compliance
Capcane's use of Google API data is subject to applicable Google policies and terms. Where Capcane accesses Google user data, such access is limited to providing the functionality authorized by the user. Capcane will handle Google user data in accordance with applicable Google API Services User Data Policy requirements, including Limited Use requirements.
19. Suspension and Termination
We may suspend or terminate your access to Capcane if you violate these Terms, engage in fraudulent or abusive activity, fail to pay applicable fees, create a security risk, violate applicable laws or third-party platform policies, or if required by law or third-party integration availability.
You may stop using Capcane at any time. If you disconnect a Google integration, Capcane will no longer be able to access the Google account or resources covered by that authorization.
20. Effect of Termination
After termination, your right to use Capcane will end. Certain provisions of these Terms may continue to apply after termination, including provisions relating to intellectual property, limitations of liability, payment obligations, disputes, and other provisions that by their nature should survive termination.
21. Disclaimers
Capcane is provided on an "as available" basis to the extent permitted by applicable law. We do not guarantee that the service will always be available, error-free, that third-party APIs will remain available, that search rankings will increase, or that marketing/ads will generate a particular result. Digital marketing and search performance depend on numerous factors outside Capcane's control.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Capcane will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the services, including loss of revenue, profits, business opportunities, data, advertising spend, search rankings, customers, or reputation.
23. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Capcane and its officers, employees, contractors, and service providers from claims, damages, liabilities, losses, and expenses arising from your use of Capcane, violation of these Terms, violation of applicable law, violation of third-party rights, content provided, or unauthorized use of connected third-party accounts.
24. Changes to These Terms
We may update these Terms from time to time. When material changes are made, we may provide notice through Capcane or other appropriate means. Your continued use of Capcane after updated Terms become effective constitutes acceptance of the updated Terms.
25. Governing Law
These Terms will be governed by the laws applicable to Capcane's contracting entity, without regard to conflict-of-law principles, except where applicable law requires otherwise.
